Hey i found it...Damn Lol. It's called The Phantom #R-06 (1977)
Here it is on eBay in Australia http://www.ebay.com.au/itm/281914562362?rmvSB=true
And, Here it is again on another site i found http://picclick.com.au/Comic-Book-King-Comics-The-Phantom-281914562362.html
It's an odd one as it looks to be from the Kings Features 1966 - 67 http://comicspriceguide.com/titles/phantom-the/ynus section of books but it's not.

Thanks! Definitely helped me big time! It was driving me crazy lol XD Thanks again!! Yeah, it has a different cover, similar but changed. No price and the "featuring the mandrake the magician" art. Even the KINGS logo is a different color.

Yeah! shes a reprint alright or mash-up of other books.
Companies would grab stories & place there own cover on it. So god-knows what it really is Lol.
